Revision: The Missouri Association for Workforce Development is a statewide association of individuals representing the workforce development community. Through professional development and advocacy, members will provide leadership that will enhance and promote an effective workforce development system.

A. the professional growth of the membership.
B. the development and delivery of quality workforce development programs.
C. local, state, and national initiatives that advance education, employment, training and workforce development services.
D. the efforts of the Missouri and National Associations for Career and Technical Education and the National Association of Workforce Development Professionals.
CONSTITUTION AND BYLAWS OF MAWD
Article I - Name
The name of this Association shall be the Missouri Association for Workforce Development, hereinafter referred to as MAWD. Mention of "Association" within these articles shall refer to MAWD.
Article II - Mission Statement
Establish a forum for individuals representing the workforce development community, whereby their interaction, communication, coordination, and professional development enhance and promote an effective Workforce Development system.
Article III - Goals
A. To promote the professional growth of the membership.
B. To promote, to encourage development of, and to support the delivery of quality Workforce Development programs for interested youth and adults, regardless of race, color, creed, or national origin.
C. To support all local, state, and national legislation that would be beneficial to Workforce Development programs and the mission of Career and Technical education.
D. To support the efforts of the Association for Career and Technical Education (ACTE) and Missouri Association for Career & Technical Education (Missouri ACTE).
Article IV - Affiliation
MAWD shall welcome affiliation by professional organizations of common interest into its membership. Such organizations must have an executive body and approved governing articles, ratified by a majority of its members. Such Organizations shall be referred to, hereinafter, as "Affiliates".
Affiliates shall be recognized as such by MAWD upon the recommendation of the MAWD Executive Committee and approval by majority vote of those present at the Annual Meeting. The Affiliate's goals and purpose must support those of MAWD.
Article V - Membership
A. All persons interested in Workforce Development programs shall be eligible for membership.
B. Membership shall begin with receipt of dues. The membership year shall extend from July 1 of one year until June 30 of the following year, regardless of the time when dues are paid.
C. The amount of membership dues shall be determined by the Board of Directors.
D. Membership may be made through MAWD, its recognized Affiliate or agent so designated to solicit membership on behalf of the Association. The Secretary, Treasurer, and Membership Chairperson shall be responsible for oversight of the Association's membership activities.
E. Affiliates of MAWD must have its members pay dues for membership in MAWD in order for the Affiliate to be afforded full representation in the Association. Affiliates may pay dues in whole for its membership, or have members pay independently to MAWD or MAWD's designated agenda.
Article VI - Officers
A. The officers of MAWD shall consist of a president, president-elect, secretary, and treasurer. These officers plus the immediate past president shall serve MAWD on the Executive Committee. The state Director of the Employment Training Section of the State Department of Elementary & Secondary Education or a member of the staff appointed by the Director shall serve as an ex-officio member of the Executive Committee. If the Affiliate has a State Department of Elementary and Secondary Educaion Representative on its executive body, that representative may serve as an ex-officio on the MAWD Executive Committee with no voting privilege.
B. Only members who are in good standing (paid dues) in the Association shall be eligible to serve as officers.
Article VII - Election of Officers
A. President: The President-Elect will automatically become president at the end of the president's term.
B. President-Elect: During those years requiring a nomination and election, the President-Elect will be nominated and elected during the Association's annual members meeting.
C. Secretary: During those years requiring a nomination and election, the Secretary will be nominated and elected during the Association's annual members meeting.
D. Treasurer: The Treasurer shall be appointed by the Executive Committee.
E. Vacancies: The Executive Committee shall have the authority to fill any vacancy/vacancies occurring in any office after the regular election has been held. Vacancies will be filled in any acting capacity until the next regular election.
F. Nomination and Election: During those years requiring nominations and elections, the President shall appoint a nominating committee of four members at least three months before the Association's annual members meeting. This committee shall nominate candidates for the office of President-Elect, and Secretary. Other nominations may be made from the floor.
The election of officers shall require a simple majority of the votes cast at the Association's annual members meeting and shall be held by secret ballot. The secret ballot may be dispensed with by unanimous vote.
Effective with the 2001 election, the President and President-Elect will serve a two-year term. Effective with the 2002 election, the Secretary will serve a two-year term.
Article VIII - Governing Bodies
A. Executive Committee
The Executive Committee shall be comprised of the President, President-Elect, Immediate Past-President, Secretary, Treasurer, and the State Director of the Employment Training Section of the State Department of Elementary & Secondary Education or a member of the staff appointed by the Director. The Executive Committee members shall be required to attend a minimum of two meetings per year in order to retain their position. Their duties shall be:
1. Duties of President: The duties of the President shall be those usually pertaining to the office as set forth in Roberts' Rules of Order, and such other duties as may be prescribed in the constitution and bylaws.
The President shall appoint a nominating committee consisting of four active members of the Association at least three months prior to the annual members meeting.
As a division of the Missouri ACTE, MAWD is eligible fo rmembership on the Missouri ACTE Board in accordance with their membership. the President of MAWD shall serve as first member to the Missouri ACTE Board. Provided the Association is eligible for two Missouri ACTE Board members, the second representative will be the President-Elect of the Association. Any additional representative shall be approved at the discretion of the President.
2. Duties of the President-Elect: The President-Elect, in the absence of the President, shall perform the duties of the President and in the case of the permanent vacancy; the President-Elect shall automatically assume the duties of the President until the office is filled by the Executive Committee.
3. Duties of Secretary: The Secretary shall keep a record of all meetings of the Association, the Executive Committee and Board of Directors and shall conduct such correspondence and fulfill such other duties as may be authorized by the President and the Executive Committee.
4. Duties of the Treasurer: The Treasurer shall give bond in such sum as the Executive Committee may direct, such bond to be executed by a responsible guarantee company, the expense to be defrayed by the association. The Treasurer shall be appointed by the Executive Committee at the Association's annual members meeting.
The Treasurer shall keep an itemized report of receipts and expenditures and submit the same to the Executive Committee for audit and approval. A complete report shall be submitted at the Association's annual members meeting.
5. Duties of the Executive Committee: It shall be the responsibility of the Executive Committee to prepare a projected, annual budget for the upcoming year to be presented at the Association's annual members meeting.
The Executive Committee has the authority to fill any vacancies, for the balance of the unfinished term, occurring in any office after the regular annual election has been held.
The Executive Committee shall audit the accounts of the Treasurer each year and submit a report of their findings to the membership at the Association's annual members meeting.
B. Board of Directors
The Board of Directors shall be comprised of the Executive Committee and the chair of each standing committee. Additional board members may be appointed at the discretion of the board. The Board of Directors members shall be required to attend a minimum of two meetings per year in order to retain their position.
1. Duties of the Board of Directors: The Board of Directors shall establish the sum of the surety bond to be obtained to cover the Treasurer of the Association.
Divisions of the Missouri ACTE are entitled to one delegate for each 50 members, or major fraction thereof, to the House of Delegates of Missouri ACTE. The Board of Directors shall select members of the Association to serve as delegates.
The Board of Directors shall consider proposed amendments to the constitution and/or bylaws and report them to the Association with their recommendations.
The Board of Directors shall hold at least two meetings in each calendar year. One meeting shall be the annual meeting and will be closely associated with the dates of the annual convention of the Missouri ACTE. The location of the annual meeting shall be in or near the city in which the convention of the Missouri ACTE is held for that year. Special meetings may be held at other times and in other places, upon the call of the President, for puposes that shall be specified in the call.
As a division of the Missouri ACTE, MAWD may be eligible for a delegate or delegates to the Association for Career and Technical Education annual convention, as set forth in the ACTE Constitution and Bylaws. The President of MAWD shall serve as the first delegate to the ACTE convention. The Board of Directors shall select subsequent delegates.
Article IX - Committees
The standing committees shall consist of the following: Diversity Action; Legislative; Policy; Professional Development; Membership; Public Information; Awards; and Program Improvement. A chairperson shall be required to attend a minimum of two meetings per year in order to retain their positions.
The MAWD Executive Committee shall appoint one member to serve on each Missouri ACTE standing committee, and others as approved by the Missouri ACTE Board of Directors. The length of term shall be set forth by the Missouri ACTE Board. MAWD appointed Missouri ACTE standing committee members shall serve as committee chairs of the Associaiton's standing committees. The Association's standing committees shall be so designated by the MAWD Executive Committee. The term of the Association's standing committee chairperson shall be no less than one year. These committees shall make reports at the Association's annual members meeting or as otherwise directed.
Article X - Meetings
At least one general membership meeting of the Association shall be held each year. Every effort shall be made to hold this meeting during the annual meeting of the Missouri ACTE.
Article XI - Amendments
The Bylaws may be amended as follows:
A member may propose amendments to the Board of Directors at least 60 days prior to a membership meeting. If the Board of Directors approves of such amendment, it shall be presented at a membership meeting to be acted upon. An amendment shall be considered adopeted if two-thirds of the members present and voting at the membership meeting approve the same, provided that the proposed amendment(s) has been submitted, with the recommendation of the Board of Directors, to the member at least thirty (30) days prior to said meeting.
Article XII - Rules of Order
The order of all meetings and actions of the Missouri Association for Workforce Development shall be governed by Roberts' Rules of Order (Revised).
